Much trouble has been due to the misunderstanding of these principles.
It is also established that Corporations can only act through its directors, and its directors through agents/officers. Individually DIRECTORS CAN NOT GIVE ORDERS TO SUBORDINATES. (Unlike partnerships where a partner can enter into an agreement on his own, or give orders to subordinates on his own, thus 3 separate partners can issue 3 conflicting orders. Thus corporations are preferred means of running a corporation
