This agreement entered into by and between Mrs.Estepafania Balasat Miciano of Solano Nueva Vizcaya known as Land Owner

and

Holy Gardens Group of Angono Rizal, corporation duly organized and subsisting under the laws of the Philippines, with principal office at Angono Rizal, herein represented by ____________________ hereinafter known as Developer

1 ...Whereas, through the intercession of Ms. Sonia Madrigal, JV partner of the Developer in Calapan, and due to loans of Land owner in the amount of P4M, (secured though) which has not been paid, interest or principal, a meeting was held on July 11, 2019 at Starbucks Megamall
to discuss current status of Forest Hills Memorial park:

1. That it was foreclosed for P15 m since November 2018, and they have stopped selling; because of negative publicity and order of
                       FICO bank  

2. That redemption period ended on October 2019

3. Would it be possible for Holy Gardens to redeem the propety for P20,000,000 as indicated by the bank

2. Whereas certain documents were required and delivered via email to complete the study of the property:

                             1. TCTs

                             2.  Plans

                             3. Art of Inc of Forest Hills SEC 

                             4.  Latest GIS

                             5.  Development Permit from SB of Solano

                             6.  Certificate of Registration from HLURB

                             7   License to Sell from HLURB


3.  Another meeting supposed to be attended by Madelene  Saguinsin Sanchez was held at Starbucks Grove, Pasig City where the following

documents:    GIS of Forest Hills, Formal Request Letter for Rescue from Forest Hills,  and the steps to be undertaken for the rescue


  4.  That Ms. Miciano and Enrique failed to respond to this offer last October 2019 ;   a letter was sent to them saying that the proposal to redeem
        due to their inaction  has deemed  terminated 


 W I T N E S S E T H


For and in consideration of the above premises, that the Landowner have formally requested for a rescue for Redemption of their foreclosed property by Fico Bank for P10,000,000 as contained in their letter dated  promises to redeem from FICO bank the 6.5 hectare property  Of these sharing, Ms. Miciano shall

    pay off the stockholders 

    Conditions:

    1.  As sign of generosity, the Developer shall remit to the former land owner __% of the net (after deducting the  50% ME,  the amount paid to the bank
         developmen cost 



2.   Ms. Miciano shall turn over all docs of the project:   LTS, titles, plans etc, and all records of the project:   acccounting, title to the property etc.  Shall execute

          Deed of Assignment of LTS  
3. Executrion of deed of sale of shares of stock of corporation


   4.  The officers and Board of Directors shall resign from their positions 

5. Take over the operations and management of Forest Hills     

6. Ms. Miciano shall execute a JV on 70:30 basis for the 2.9 property which is exclusively her

  (  Simultaneously, Forest Hills and Ms. Miciano will execute a JV agreement  to develop, sell and operate the 8.888 hectare property subject of theDP (not yet the LTS). Incidentally the 2.9 hectare  property registered in the name of her deceased  brother is hers (Ipinangalan lang sa kanya for
      CARP purposes) is actually hers. and this is a welcome move
