Preferred Investors: This is reserved for friends and affiliate corporations: Majorem Lending, the Memorial Care fund, Destiny Financials, and JV partners
Borrowers: Ang Uno Gardens for Holy Gardens Greenhills;
San Carlos Pangasinan Gardens Inc. for Pangasinan
Amount to be Issued:
P20,000,000 for San Carlos Pangasinan Gardens
P30,000,000 for Ang Uno Gardens
Preferred Number of Lenders: Not more than 20 for each company
Units: P100,000.00 each with each lender having a maximum of 50 units only
Documentation: Promissory Note; conversion,voting rights are not allowed
Returns: 2x your money in 7 years or 14.28% per annum
Security: Pledge vs special plots: prime, premium, special premium that are anywhere from 15% for prime, 30% for premium, and 50% more expensive than regular plots (interior plots) which shall be earmarked/not sold and used exclusively as security for this issuance
Redemption:
1. In cash after five years
2. Or in kind, (the plots shall be transferred in favor of the buyer of the PN)
Pretermination:
Should the Lender preterminate, the rate shall be 50% of simple interest rate of 14.28% per annum for the term (or 7.14) provided a 90 days advance notice is made
However should the Issuer or the Company pre terminate, the rate shall be at 20% per annum
Nature: Private placement, and not covered by Securities Act, nor Quasi Banking laws of the Philippines,
The Lender understands the risks involved. However the Company has been in the business for the last 34 years,. has not borrowed, all its previous borrowings is not into lawsuits, and enjoying healthy cash flows from its operations
Closing date: Not more than 90 days after announcement.
