Minutes of the meeting AB3 and JJ regarding turn over of DFPI to AUG last March 22, 2018

Agenda:

1.  Documentation of turn over;

2.  New DA for Million the 37 million being overstated

1.   Mr. AB3 inquired as to whether  a stockholders meeting regarding the turn over, and election of officers

     The answer is that there was

     Therefore can the Board of Directors of AUG:

      1. Conduct its meeting
      2. Approve resolutions about:   bank account, change name,offices

     Some action:

    1.  DFPI new can use the old Ebank account simply change the signatory upon
         AB3 instuction;  close their Bacolod BPI account

    2.  Have a six months transition period between Amber and AUG.  Get an AA to 
        effect gradual turn over   (JJ will refer the applicant from Binangonan for DFPI 
        accounting assistant

   3. Regarding the BOD:

      Cheska will file a new GIS with only 6 directors with NBI;  Aug will file this with OIC 
      in 30 days.  This is to be done to avoid paying penalties

      Mr. AB3 would be honorary chairman

2.  Regarding the P37 million inventories to be returned to AB3 and ABKT

    There is a shortage of about 5 million. So actual inventories is only P32 milion

   So the DA for 37 million has to be changed to P32 million.  However, AUG has to pay 
    additional P5million.  Why should AUG do that.  We have paid in full P37, million for       P37 million shares of stocks if what was to be given to them in terms of lots lack P5 
    million, it is their own look out,not ours.

   To which AB3 just agreed to just change the DA

   They would seek the approval of OIC to withdraw their real estate from their trust account

3.  Other matters:

    1.  DFPI could come out  with various financial instruments like plan with earnings
         and protection benefits;  just like bank without the restrictions of BSP

        The unit plans of AUG looks promising

        MRS would be Ms Destiny

   2. The themes:   "Life is beautiful'   by DFPI and  Holy Gardens group:   "Creating beautiful life story"   are sort of converging and synching.

  3.  There would be shortage of memorial park plots in the next five years    Can we
       partner with Jack Ng?

  4.  The way to go is by cremation.  Fortunately, we are building 2 now.

There being no other subject matters to take up, the meeting was adjourned
